Terms of Service
Last updated: October 22, 2026
These Terms of Service (the “Terms”) govern your access to and use of GroundTruth, a citation verification service for legal briefs, filings, and research papers. GroundTruth is operated by Manoff Technologies, Inc. (“Manoff Technologies,” “we,” “us,” or “our”). By accessing or using GroundTruth, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, uploading a document, or otherwise using GroundTruth (the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and references to “you” include both you and that organization. If you do not agree to these Terms, do not use the Service.
2. Description of Service
GroundTruth is a software service that reads legal filings, briefs, academic papers, and similar documents you upload, identifies the citations they contain, retrieves the underlying cited sources where available, and produces a report indicating whether each citation appears to support the proposition for which it is cited. The Service may use automated systems, including third-party large language models and external legal and web data sources, to generate its output. The Service is provided as a productivity and review tool for human users; it is not a substitute for professional judgment.
3. Accounts & Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. You agree to provide accurate and complete account information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at isaac@groundtruth.law if you suspect unauthorized access to your account.
4. Acceptable Use
You agree that you will not, and will not permit anyone else to:
- use the Service in violation of any applicable law, regulation, court order, or rule of professional conduct;
- upload content you do not have the right to share, including privileged material belonging to others, or content that infringes intellectual property, privacy, or confidentiality rights;
- attempt to reverse engineer, decompile, scrape, or extract the underlying models, prompts, training data, or source code of the Service, except to the extent that applicable law expressly permits such activity;
- interfere with, overload, or disrupt the Service or its infrastructure, or circumvent any rate limits or access controls;
- use the Service to build a competing product or to benchmark it for the purpose of producing comparative materials without our prior written consent; or
- misrepresent the Service’s output as a human attorney’s work product, legal advice, or a guarantee of citation accuracy.
5. User Content & Uploaded Documents
You retain all rights to the briefs, filings, papers, notes, and other materials you submit to the Service (“User Content”). You grant Manoff Technologies a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your User Content solely as needed to operate, secure, support, and improve the Service for you, including by sending excerpts to third-party model and data providers in order to verify citations.
You represent and warrant that you have all rights necessary to submit your User Content to the Service and that doing so does not violate any contract, court order, or applicable law. You are solely responsible for ensuring that any submission of client documents, sealed materials, or otherwise restricted content complies with your professional, contractual, and ethical obligations.
6. Confidentiality
We treat your User Content as confidential. We will not sell your User Content, and Manoff Technologies will not use it to train general-purpose foundation models. Access to User Content within Manoff Technologies is limited to personnel and contractors who need it to operate, support, debug, or secure the Service, and to comply with legal obligations. We may use de-identified, aggregated metrics derived from usage of the Service to monitor performance and improve features.
Third-party providers that receive your content. Verification involves sending your User Content to third-party providers. Two of them receive your document's actual content: Fireworks AI, our AI provider, which processes the extracted text of your brief and the cited sources, and LlamaParse (LlamaIndex), which receives your uploaded PDF or Word file to convert it into text. We run Fireworks AI with zero data retention, so your data is not stored after the response is returned and is never used to train AI; we submit files to LlamaParse with caching disabled, so the uploaded file is not cached or retained. Our source-discovery and fetching providers (Exa, Firecrawl, ScrapingBee, CourtListener, and Legal Data Hunter) receive only search terms about the cited authority and public web addresses — not your brief text. Each provider processes that data under its own then-current published terms.
You decide what to upload. You are responsible for deciding whether a particular document is appropriate to submit, consistent with your obligations to your clients and your firm's confidentiality, privilege, and information-security policies. Before uploading client-confidential, privileged, sealed, or otherwise regulated content, confirm that doing so is appropriate.
Uploading User Content to the Service does not, by itself, create an attorney-client relationship between you and Manoff Technologies. Where you transmit privileged or work-product materials, you are responsible for assessing whether doing so is consistent with your obligations to your clients.
7. Intellectual Property
The Service, including its software, models, prompts, user interface, branding, and documentation, is owned by Manoff Technologies and its licensors and is protected by intellectual property and other laws. Subject to your compliance with these Terms, Manoff Technologies grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or professional purposes. All rights not expressly granted are reserved. You may not remove or alter any proprietary notices on the Service or its output.
Output generated by the Service in response to your User Content (the “Output”) is provided to you for your use, subject to these Terms. You acknowledge that other users may receive similar or identical Output in response to similar inputs and that Output may incorporate or summarize third-party content, which remains subject to the rights of its owners.
8. Subscription & Fees
GroundTruth offers a limited free allowance, after which continued use requires a paid subscription. Current pricing is shown on our website. Features and usage limits may change over time, and the Service may be unavailable from time to time. Where a change affects the fees you are already paying, we will give you notice and an opportunity to review the applicable pricing before new charges apply.
The Service may contain bugs or inaccuracies. You agree to provide reasonable cooperation in reporting issues you encounter and acknowledge that Manoff Technologies may use your feedback to improve the Service without obligation to you.
9. Disclaimers
GroundTruth does not provide legal advice.
The Service is a software tool that helps users review and verify citations. It is not a law firm, it is not your lawyer, and its Output is not legal advice, a legal opinion, or a substitute for the independent professional judgment of a qualified attorney. You are solely responsible for any legal, ethical, or professional conclusions you draw from the Output and for the contents of any document you file, publish, or serve.
Citation verification depends on the availability and accuracy of third-party legal databases, court websites, publishers, and web sources. The Service may misread a citation, fail to retrieve a source, surface an incorrect or outdated version of a source, or characterize a quotation or proposition incorrectly. You must independently confirm any citation or quotation before relying on it in a brief, filing, paper, or other authoritative document.
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
WITHOUT LIMITING THE FOREGOING, MANOFF TECHNOLOGIES MAKES NO WARRANTY OR GUARANTEE THAT THE SERVICE IS SECURE OR THAT YOUR CONTENT WILL REMAIN PRIVATE OR CONFIDENTIAL OR BE FREE FROM LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS. THE SERVICE SENDS YOUR CONTENT TO THE THIRD-PARTY PROVIDERS DISCLOSED IN OUR PRIVACY POLICY, WHOSE RETENTION AND DATA-HANDLING PRACTICES WE DO NOT CONTROL. YOU USE THE SERVICE ON THAT BASIS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANOFF TECHNOLOGIES AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE OR ANY OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MANOFF TECHNOLOGIES FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). THE LIMITATIONS IN THIS SECTION APPLY TO ALL THEORIES OF LIABILITY, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.
11. Indemnification
You agree to defend, indemnify, and hold harmless Manoff Technologies and its affiliates, officers, employees, agents, and licensors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your User Content, (b) your use of the Service or any Output, (c) your violation of these Terms or any applicable law, or (d) your violation of any third-party right, including any intellectual property, privacy, or confidentiality right.
12. Termination
You may stop using the Service at any time and may close your account by contacting us at isaac@groundtruth.law. We may suspend or terminate your access to the Service, in whole or in part, at any time if we reasonably believe you have violated these Terms, if required by law, or if continued provision of the Service to you creates undue risk or burden for Manoff Technologies or other users. Sections that by their nature should survive termination (including those governing User Content rights, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Service that is not resolved informally will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.
14. Changes to the Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, take reasonable steps to notify you, such as by email or an in-product notice. Your continued use of the Service after the updated Terms take effect constitutes acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
